Terms & Conditions

1. Services

ForgeIQ Systems LTD provides professional engineering and technical consulting services, including but not limited to:

• Industrial Automation Engineering

• PLC Programming

• HMI & SCADA Development

• Industrial Network Design & Troubleshooting

• Systems Integration

• Control System Design

• IIoT & Data Integration

• Commissioning & Startup Support

• Project Engineering & Project Management

• Technical Consulting

• OEM Technical Support

• Engineering Documentation

• Technical Training

• Remote Technical Support

• On-site Engineering Services

Services are provided according to an agreed proposal, quotation, statement of work (SOW), purchase order, or other written agreement.

 

2. Client Responsibilities

The client agrees to:

• Provide accurate project information.

• Ensure personnel are available during scheduled work.

• Provide safe access to equipment and facilities.

• Obtain any required permits or approvals.

• Maintain backups of PLC programs, HMI applications, servers, databases, and other critical systems before any work begins.

Unless specifically contracted, ForgeIQ is not responsible for creating or maintaining client backups.

 

3. Changes to Scope

Any work requested outside the original scope may require:

• A revised quotation

• A written change order

• Additional charges

ForgeIQ will communicate scope changes before performing additional work whenever reasonably practical.

 

4. Payment Terms

Unless otherwise agreed in writing:

• Payment is due upon receipt of invoice.

• Late payments may incur a 1.5% monthly finance charge (18% annually) or the maximum amount permitted by applicable law.

• Clients are responsible for any collection costs, including reasonable attorney's fees, if collection becomes necessary.

 

5. Travel Expenses

Unless otherwise stated:

• Travel time may be billable.

• Mileage, airfare, lodging, rental vehicles, parking, tolls, and other reasonable travel expenses are billed separately.

 

6. Professional Services Disclaimer

ForgeIQ provides engineering consulting and technical services.

Implementation decisions, equipment operation, machine safety, cybersecurity, regulatory compliance, and production performance remain the responsibility of the client.

Clients are responsible for validating all modifications before placing equipment into production.

 

7. No Performance Guarantee

While ForgeIQ applies industry best practices and professional judgment, we do not guarantee:

• Production output

• Financial savings

• Regulatory approval

• Product quality

• Elimination of downtime

• Equipment reliability beyond the scope of our work

 

8. Intellectual Property

Unless otherwise agreed in writing:

• ForgeIQ retains ownership of its proprietary methodologies, templates, documentation formats, software utilities, training materials, and engineering tools.

• Clients retain ownership of their existing intellectual property.

• Custom deliverables specifically developed and paid for by the client become the client's property unless otherwise agreed.

 

9. Confidentiality

ForgeIQ will treat client information as confidential and will not disclose proprietary information except:

• with client authorization,

• when required by law,

• or as necessary to perform contracted services.

 

10. Training Services

Training is provided for educational purposes.

Completion of training does not certify competency or guarantee operational proficiency.

Clients remain responsible for ensuring personnel are qualified to operate equipment safely.

 

11. Warranty

Professional services are warranted to be performed in a professional and workmanlike manner consistent with generally accepted engineering practices.

Except as expressly stated, no other warranties are provided, including implied warranties of merchantability or fitness for a particular purpose.

 

12. Limitation of Liability

To the maximum extent permitted by law, ForgeIQ Systems LTD shall not be liable for:

• Lost profits

• Lost production

• Lost data

• Business interruption

• Consequential damages

• Incidental damages

• Special damages

• Indirect damages

ForgeIQ's total liability arising from any engagement shall not exceed the total fees paid by the client for the specific services giving rise to the claim.

 

13. Force Majeure

ForgeIQ shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, labor disputes, utility outages, cyber incidents, government actions, transportation disruptions, or supplier failures.

 

14. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

 

15. Changes

ForgeIQ may update these Terms periodically. Continued use of our services constitutes acceptance of the revised Terms.
